The Federal High Court, Lagos Judicial Division, has ordered the compulsory winding-up of Envivo Communications Limited, a Nigerian multimedia and digital content company headed by Ms. Chioma Ude. The decision, delivered on June 25, 2025, in Suit No. FHC/L/CP/999/2024, follows a petition filed by Fidelity Bank Plc.
In the ruling, the court directed that Envivo Communications Limited be placed under compulsory liquidation in line with the Companies and Allied Matters Act (CAMA) 2020. An appointed Liquidator or Official Receiver will now assume full control of the company’s operations, assets, and liabilities as part of the supervised winding-up process.
According to the Order:
• Envivo Communications Limited has ceased all business operations with immediate effect.
• The powers of the company’s directors and management have been suspended.
• A Liquidator/Official Receiver will take custody of all company records, assets, and financial information.
• Creditors, partners, contractors, and other stakeholders will be contacted for formal claim submissions and verification.
• Regulatory agencies, including the Corporate Affairs Commission (CAC) and the Federal Inland Revenue Service (FIRS), have been notified to commence statutory compliance actions relating to the liquidation.
Envivo Communications Limited has been active in Nigeria’s digital media, education, and content production space. Its Managing Director, Ms. Chioma Ude—also recognised among NBC’s Top 30 Global Women of 2025—is known for her contributions to the African creative industry.
**Next Steps in the Liquidation Process**
The appointed Liquidator is expected to:
• Issue a public notice inviting creditors to submit proofs of debt;
• Outline procedures for settling outstanding obligations;
• Provide periodic updates on the administration of the company’s estate; and
• Engage stakeholders to ensure a transparent and orderly liquidation.
Members of the public and business partners have been advised to await official communication from the Liquidator and refrain from conducting any business with former directors or officers of Envivo Communications Limited.
